Terms of Service

The rules that apply when your business uses Bronjoy to manage appointments and accept clients.

In short
  • Bronjoy is the technology that helps your business publish a profile, accept bookings and take payments.
  • Your business may already be listed from public sources — you can claim that profile, correct it, or ask us to remove it, free of charge.
  • You must run a real, legitimate business and provide truthful information; we may verify it before activating payments.
  • You set your services, prices and cancellation policy; you are responsible for delivering the service and for any required licences.
  • Online payments and payouts are handled through Stripe; Bronjoy may collect a platform fee that is disclosed before activation.
  • These Terms are governed by the laws of the Republic of Uzbekistan.

1. Agreement to these Terms

These Terms of Service (the “Terms”) form a legally binding agreement between (a) the legal entity, individual entrepreneur or other business that registers an organisation on Bronjoy (“you”, “your”, the “Provider” or “Organisation”) and (b) the operator of the Bronjoy platform (“Bronjoy”, “we”, “us” or “our”). Bronjoy is operated from the Republic of Uzbekistan; the operating company is in the process of incorporation, and these Terms will be updated with its registered name and address once that is complete.

By creating an organisation, signing in as an owner, manager or staff member, accepting a booking or otherwise accessing or using the Bronjoy provider dashboard, related APIs, mobile applications and Telegram tools (together, the “Service”), you confirm that you have read, understood and accepted these Terms and our Privacy Policy.

If you do not accept these Terms, you must not use the Service.

2. Definitions

  • Service — the Bronjoy platform, including the provider dashboard, the public booking marketplace, mobile and Telegram tools, APIs and related online services.
  • Provider / Organisation — your business as registered on Bronjoy, including all of its branches, services and members.
  • Member — any natural person (owner, manager, employee, contractor) acting on behalf of the Organisation through the Service.
  • Client — an end-user who books or pays for services through Bronjoy.
  • Booking — an appointment created or accepted through the Service.
  • Content — any text, images, services, prices, photos, descriptions, reviews replies and other material the Organisation or its Members publish on the Service.
  • Platform fee — the fee Bronjoy charges to the Organisation for use of the Service, as disclosed in the Service or in a separate commercial agreement.

3. Eligibility and authority

To register and use a provider account on Bronjoy you must:

  • be a legal entity, individual entrepreneur or self-employed professional duly registered under the laws of the Republic of Uzbekistan, or in another jurisdiction permitted by us;
  • have all the licences, permits and authorisations required to lawfully provide your services in your jurisdiction;
  • be authorised to bind the Organisation to these Terms (where you act on its behalf);
  • not be subject to any sanction, ban or prior decision of Bronjoy that prevents the use of the Service.

By creating an Organisation, you represent and warrant that all of the above is and will remain true.

4. Account verification (KYC)

Before activating online payments or certain features, we — or our payment processor Stripe — may ask you to provide information about your business, including legal name, registration number, taxpayer identification (INN/STIR), beneficial owners, address, bank account, identity documents of authorised representatives and any other information required by applicable “know your customer” (KYC), anti-money-laundering and tax-compliance laws.

You agree to provide accurate, complete and up-to-date information and to update it without delay if it changes. We may suspend or close accounts that fail verification, that contain false information or that are linked to fraud.

5. The Service we provide

Bronjoy is an online marketplace and SaaS platform. We provide the technology that allows Organisations to publish a profile, list services and prices, manage availability, accept Bookings, communicate with Clients, take payments and analyse performance.

Bronjoy is not a party to the contract between you and your Clients. The Provider — not Bronjoy — is responsible for delivering the booked service and for compliance with the laws and licensing rules that apply to its activity.

We may add, modify or discontinue features at any time.

6. Business profiles compiled from public sources

Bronjoy publishes a catalogue of business profiles that we compile from publicly available sources — business directories and online maps, official registers, and businesses' own websites and public social-media pages. Your business may therefore already appear on Bronjoy before you register. Such a profile is marked as unclaimed, is informational only, and does not accept online Bookings.

We publish only information that a business has itself made public or that is published in openly accessible sources, and we do not publish personal data of your staff or your clients taken from such sources. Descriptions and category labels on unclaimed profiles may be generated, translated or reformatted automatically with the help of AI tools from that source material, and may therefore be imprecise.

Claiming a profile. If you own the business or are authorised to represent it, you may claim its profile. We verify claims against documents evidencing your authority (registration documents, an identity document of the authorised person and, where necessary, further evidence). Once a claim is approved the profile becomes yours: you gain full control over its content, and the remainder of these Terms applies to you as a Provider.

Corrections and removal. At any time — including before claiming — you may ask us to correct or remove an unclaimed profile by writing to [email protected]. We review such requests within a reasonable time and free of charge, and will remove the profile at your request.

7. Provider obligations

When you use the Service you agree to:

  • publish accurate, current and lawful information about your business — name, address, services, prices, working hours and team;
  • honour confirmed Bookings or notify the Client through the Service as early as possible if you cannot;
  • deliver services with due professional care, in line with applicable laws, professional standards and consumer-protection requirements of the Republic of Uzbekistan;
  • respond to Client messages, booking requests and reasonable complaints in a timely manner;
  • ensure that your staff with access to the Service are trained on its use and on the protection of personal data;
  • do not solicit Clients to circumvent the Service in order to avoid platform fees, taxes or transparent records;
  • do not list services or content that are illegal, harmful, sexually explicit, discriminatory, deceptive or that infringe third-party rights;
  • treat Clients with respect and without discrimination.

8. Bookings, cancellations and no-shows

  • You may set your own cancellation, rescheduling and no-show policy, which is shown to Clients before they confirm a Booking.
  • You shall keep your availability and prices up to date so that Clients see realistic options.
  • You may cancel a Booking only for valid reasons and shall, where reasonable, propose a free reschedule or full refund to the Client.
  • Repeated unjustified cancellations on your side may lead to lower visibility, the suspension of certain features or termination of your account.

9. Platform fees, payments and payouts

  • Online payments are processed by Stripe, Inc. (“Stripe”). To accept payments, you must complete onboarding with Stripe Connect and accept Stripe's Connected Account Agreement — see Stripe Connect Legal.
  • Payouts are sent to your bank account in accordance with the schedule and rules set by Stripe and applicable Uzbekistan currency-control regulations.
  • Bronjoy may charge a platform fee — for example, a subscription fee, a per-booking fee or a percentage of the transaction. Any such fee is clearly disclosed in the Service or in a separate commercial agreement before it applies.
  • Refunds, chargebacks and disputes are your responsibility and may be deducted from your payouts in line with Stripe's procedures and the cancellation policy you have published.
  • You are responsible for issuing fiscal documents, applying VAT (where applicable) and complying with all Uzbekistan tax, fiscalisation and reporting obligations relating to the services you sell.

10. Client data and personal-data obligations

When a Client books with you through Bronjoy, we share with you the personal data of the Client that is necessary to deliver the service (typically name, contact details and the booking specifics).

With respect to that personal data:

  • you act as an independent data controller (or, where applicable, as a joint controller alongside Bronjoy) under the Law of the Republic of Uzbekistan “On Personal Data” (No. ZRU-547 of 2 July 2019);
  • you shall use the data only for the purposes of confirming, delivering and following up on the booked service, for fulfilling your statutory obligations (accounting, tax, professional records) and for related lawful purposes;
  • you shall not use Client data for unsolicited marketing without the Client's freely given, specific, informed and unambiguous consent;
  • you shall apply technical and organisational measures appropriate to the risks (access control, secure devices, training);
  • you shall, if asked, assist Bronjoy in answering data-subject requests and in handling personal-data incidents.
  • where you transfer Client data outside the Republic of Uzbekistan, you shall comply with the data-localisation and cross-border transfer requirements of the Personal Data Law.

11. Reviews and ratings

Clients may post ratings, reviews and photos about your business. Reviews are an important signal of trust on Bronjoy and we do not edit their substance.

You may publicly reply to reviews through the Service in a respectful, factual manner. We may remove reviews or replies that violate these Terms — for example, that contain personal data of a Client without their consent, hate speech, threats or unlawful content.

You shall not pay, induce or pressure anyone to post fake or biased reviews, or to remove genuine reviews.

12. Acceptable use

You and your Members agree not to:

  • use the Service for unlawful, fraudulent or harmful purposes;
  • circumvent platform fees by encouraging off-platform payments;
  • harass, threaten or impersonate any person, Client, other Provider or Bronjoy employee;
  • scrape, copy, frame or otherwise extract data from the Service without our prior written consent;
  • reverse-engineer, decompile, probe or test the security of the Service, or interfere with its normal operation;
  • upload viruses, malware or any code intended to disrupt the Service;
  • use the Service in violation of the laws of the Republic of Uzbekistan, including data-protection, consumer-protection, advertising and information-security laws.

13. Third-party services

The Service relies on third parties such as Stripe (payments and payouts), Telegram (sign-in and notifications), email and SMS gateways, mapping providers and cloud hosting providers. Their availability is outside our control. When you interact with these third parties through the Service, their own terms and privacy policies apply in addition to ours.

14. Intellectual property

The Service — including its software, source code, design, “Bronjoy” brand and logo, trademarks, original text, graphics and compilations — is owned by the operator of Bronjoy or its licensors and is protected by the intellectual-property laws of the Republic of Uzbekistan and international treaties.

You retain ownership of the Content you publish on the Service (business name, services, prices, photos, descriptions). By publishing it you grant Bronjoy a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, reproduce, adapt, translate, display and distribute that Content for the purposes of operating, promoting and improving the Service. You confirm that your Content is lawful, accurate and does not infringe third-party rights.

15. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the maximum extent permitted by the laws of the Republic of Uzbekistan.

We do not warrant that the Service will be uninterrupted, error-free, timely or secure, or that it will produce any particular volume of Bookings, revenue or business outcomes.

16. Limitation of liability

To the fullest extent permitted by the laws of the Republic of Uzbekistan:

  • Bronjoy is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, lost goodwill or loss of data;
  • our total aggregate liability for any claim relating to the Service shall not exceed the greater of (a) the total amount you paid Bronjoy as platform fees in the twelve (12) months preceding the event giving rise to the claim, or (b) 5,000,000 UZS;
  • Bronjoy is not responsible for the acts or omissions of any Client, including chargebacks initiated in bad faith, payment disputes, no-shows or unlawful behaviour.

Nothing in these Terms excludes liability that cannot be excluded under mandatory provisions of Uzbekistan law.

17. Indemnification

You agree to defend, indemnify and hold harmless Bronjoy, its operators, employees, contractors and agents from and against any claim, demand, damage, fine or expense (including reasonable legal fees) arising out of or related to: (a) the services you deliver to Clients; (b) your Content or any information you publish on the Service; (c) your breach of these Terms; (d) your breach of any law (including consumer-protection, tax, advertising and personal-data laws); or (e) any tax, regulatory or licensing claim relating to your business activity.

18. Suspension and termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that you have breached these Terms, that your account is being used fraudulently, that suspension is required by law or by a competent authority, or that there is a material risk to the Service, to Clients or to other Providers.

You may terminate the agreement and close your Organisation at any time by writing to [email protected]. Termination does not affect (a) Bookings already confirmed by you (which you must honour or fairly refund), (b) outstanding fees, payouts and refunds, or (c) provisions of these Terms which by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution.

19. Changes to the Service and to these Terms

We may add, modify or discontinue features of the Service at any time.

We may also update these Terms from time to time. The current version is always available on the Service and the “Last updated” date at the top of this page indicates when it took effect. For material changes — including changes to fees — we will give you reasonable advance notice (at least 30 days) by email or through the dashboard before they take effect.

If you continue to use the Service after the changes have taken effect, you accept the updated Terms. If you do not accept them, you must stop using the Service and may close your Organisation.

20. Force majeure

Neither party shall be liable for failure or delay in the performance of these Terms caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government acts, epidemic measures, blackouts or failures of public communications networks.

21. Governing law and dispute resolution

These Terms are governed by, and shall be construed in accordance with, the laws of the Republic of Uzbekistan.

Any dispute arising out of or in connection with the Service or these Terms shall first be addressed through good-faith negotiation. Either party may send a written claim to the other party's official contact email. If the dispute is not resolved within 30 (thirty) calendar days from receipt of the claim, it shall be referred to the competent courts of the Republic of Uzbekistan.

22. General provisions

  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Failure or delay by Bronjoy to enforce any right does not waive that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign them, in whole or in part, to an affiliate, successor or in connection with a corporate transaction.
  • Entire agreement. These Terms, together with the Privacy Policy, the Stripe Connected Account Agreement and any feature-specific or commercial terms agreed with you, constitute the entire agreement between you and us regarding the Service.
  • Electronic communications. You consent to receive notices, agreements and other communications from us in electronic form (by email, in-app message or push notification).
  • Languages. These Terms are published in English, Russian and Uzbek. In case of any discrepancy, the Uzbek version prevails for businesses operating in the Republic of Uzbekistan.
